Terms of Service

1. Acceptance of Terms

By accessing or using DTPulse ("the Service"), operated by DTPulse Ltd. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

DTPulse is a multi-tenant SaaS employee portal that provides:

  • Organizational chart and team directory
  • Office floor plans with seat mapping
  • Absence management with approval workflows
  • 360-degree review cycles with competency scoring
  • Internal knowledge base with WYSIWYG editor
  • Birthday tracking and notifications
  • Competency matrix and grade management
  • Slack integration (notifications, SSO, status sync)
  • Google SSO and custom branding

3. Accounts and Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • One organization ("tenant") per account. Each tenant has isolated data.
  • The person who creates the account becomes the initial Administrator.
  • You must be at least 18 years old to create an account.

4. Plans and Pricing

  • Free plan: Up to 10 employees, core features included, no credit card required.
  • Paid plans (Team, Business, Enterprise): Flat monthly or annual fee based on employee count tier, not per-user.
  • Prices are listed on our website and may change with 30 days' notice.
  • Annual billing offers approximately 17% discount.
  • All fees are exclusive of taxes unless stated otherwise.

5. Payment and Billing

  • Payments are processed by Stripe. We do not store credit card information.
  • Subscriptions renew automatically at the end of each billing period.
  • You may cancel at any time. Service continues until the end of the paid period.
  • Refunds may be requested by contacting [email protected]. Each request is reviewed individually.
  • Failed payments: Stripe will automatically retry. If payment remains unsuccessful, your account may be downgraded to the Free plan.

6. Data Ownership and Processing

  • You own all data you upload to DTPulse. We do not claim any ownership.
  • We process your data solely to provide the Service, as described in our Privacy Policy.
  • We act as a Data Processor on behalf of your organization (the Data Controller) under GDPR, CCPA, and other applicable data protection laws.
  • We will not share, sell, or use your data for advertising or profiling.
  • You can export all your data at any time in machine-readable format (JSON) from Admin → GDPR.
  • Consent responsibility: By uploading or entering personal data of employees or other individuals into DTPulse, you represent and warrant that you have obtained all necessary consents, authorizations, and legal bases required under applicable data protection laws (including GDPR, CCPA, LGPD, PIPA, and others) to collect, store, and process such data. You are solely responsible for ensuring that any personal data you provide to DTPulse has been lawfully obtained and that the data subjects have been informed about how their data will be used.

7. Security

  • Data encrypted at rest and in transit (TLS 1.2+).
  • Platform integration tokens encrypted with AES-256-GCM.
  • Passwords hashed with bcrypt.
  • Role-based access control (Admin, HR, User).
  • Audit logs for data access and administrative actions.
  • Regular security updates and dependency scanning.

8. Acceptable Use

You agree not to:

  • Use the Service for illegal purposes or in violation of applicable laws.
  • Upload malicious content, viruses, or harmful code.
  • Attempt to access other tenants' data or circumvent security measures.
  • Use the Service to send spam or unsolicited communications.
  • Reverse engineer, decompile, or disassemble the Service.
  • Resell or sublicense access to the Service without prior written consent.

9. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted service.
  • We aim to provide advance notice of planned maintenance when possible.
  • We are not liable for downtime caused by third-party services (Slack, Stripe, hosting providers).

10. Termination

  • You may cancel your account at any time from Admin Settings.
  • We may suspend or terminate accounts that violate these Terms.
  • Upon termination, we recommend exporting your data beforehand. Data may be deleted after account closure.
  • You may request a data export at any time from Admin → GDPR.

11. Limitation of Liability

To the maximum extent permitted by law, DTPulse Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Changes to Terms

We may update these Terms from time to time. Significant changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which DTPulse Ltd. is incorporated. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.
